Welcome to Travel Advisor Marketplace. These Terms and Conditions (the "Terms") are a binding agreement between you and Travel Advisor Marketplace (the "Marketplace," "we," "us," or "our") and govern your access to and use of our website, services, and any content or products made available through them. By creating an account or by accessing or using the Marketplace, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Marketplace.
Definitions
As used in these Terms:
- "Marketplace" means the Travel Advisor Marketplace website and the related services we operate.
- "Seller" means a registered user who lists Products for sale through the Marketplace.
- "Buyer" means a registered user who purchases Products through the Marketplace.
- "Products" means the digital materials a Seller offers for sale through the Marketplace.
- "Content" means any material a user submits, uploads, or displays on or through the Marketplace, including Products, listings, descriptions, and images.
Purpose of the Marketplace
Travel Advisor Marketplace is a digital platform on which travel advisors offer, sell, and purchase original resources designed to support the travel advisory industry.
Products may include, but are not limited to:
- Social media templates
- Marketing materials
- Email templates
- Client forms
- Guides and checklists
- Design templates (including Canva templates)
- Training materials
- Standard operating procedures
- Educational resources
- Business tools and worksheets
The Marketplace acts solely as a venue that facilitates transactions between Buyers and Sellers. The Marketplace is not a party to, and does not take title to or ownership of, any Product sold through the platform.
Eligibility and Accounts
You must be at least eighteen (18) years old to use Travel Advisor Marketplace.
By creating an account, you represent and warrant that:
- You have the legal capacity and authority to enter into this agreement;
- All information you provide is accurate and current, and you will keep it accurate and current;
- You will comply with all applicable laws and regulations in connection with your use of the Marketplace.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.
Seller Responsibilities
Each Seller represents, warrants, and agrees that the Seller:
- Owns, or holds all rights necessary to sell, every Product the Seller lists;
- Will not upload or sell Content that infringes any copyright, trademark, or other intellectual property right;
- Is solely responsible for the accuracy, legality, and quality of the Seller’s listings and Products;
- Will not sell materials obtained through unauthorized resale or redistribution;
- Will comply with all tax obligations applicable to the Seller’s earnings;
- Will respond to Buyer inquiries in good faith and make reasonable efforts to resolve any Buyer dissatisfaction;
- Will issue a refund where a dispute with a Buyer cannot otherwise be resolved, in accordance with Section 10 (Refund Policy).
The Marketplace reserves the right to remove any listing that violates these Terms.
Buyer Responsibilities
Each Buyer agrees that the Buyer:
- Will use purchased Products only in accordance with the license granted in Section 6 (Digital Product License) or as expanded in the applicable product listing;
- Will not share, redistribute, reproduce, or resell Products except as expressly permitted by the Seller;
- Understands that purchases are made from independent Sellers, not from the Marketplace;
- Is responsible for any sales, use, or similar taxes applicable to the Buyer’s purchases as determined by the Buyer’s location, except where the Marketplace or its payment processor is required by law to collect and remit such taxes.
Digital Product License
Unless otherwise stated in a product listing, each purchase grants the Buyer a non-exclusive, non-transferable, non-sublicensable license to use the Product for the Buyer’s own travel business.
Under this license, Buyers may:
- Edit and customize purchased Products;
- Use Products within their own business operations.
Buyers may not:
- Resell Products, or derivatives of Products, as standalone items;
- Claim ownership or authorship of the original work;
- Share Product files with third parties;
- Upload Products to public file-sharing platforms or repositories.
Any expanded commercial rights must be expressly stated in the product description by the Seller.
License You Grant to the Marketplace
You retain all ownership of, and all intellectual property rights in, the Content you submit. Submitting Content to the Marketplace does not transfer ownership of it to us.
By submitting Content, you grant the Marketplace a limited, worldwide, non-exclusive, royalty-free license to host, store, back up, reproduce, display, and transmit your Content solely as necessary to operate the Marketplace and facilitate your transactions — including storing your files, displaying your listing titles, descriptions, previews, and images, promoting your listings within the Marketplace, and delivering purchased Products to Buyers on your behalf.
The Marketplace will not sell, license, sublicense, distribute, publish, or otherwise commercially exploit your Content for its own account, and will not use your Content for any purpose other than operating the Marketplace and facilitating your sales, except as necessary to comply with law, to enforce these Terms, or as you otherwise authorize in writing. We do not acquire any right to use a Product as though we had purchased it; if we wish to use a Product for our own purposes, we must purchase it on the same terms as any other Buyer.
This license exists only to enable the Marketplace to provide its services and continues only while your Content remains on the Marketplace. It ends when your Content is removed, except that (a) we may retain residual copies in routine backups for a commercially reasonable period, and (b) the license necessary to support Products already delivered to Buyers under a completed purchase survives, so that those Buyers retain the access they paid for.
Content Standards and Review
The Marketplace actively moderates listings for safety. We may review the listings, Content, and files Sellers submit — by manual and/or automated means — before or after a listing becomes available, and at any time while it remains on the Marketplace, but we do not review or scan every listing, Product, or file. We reserve the right, in our sole discretion, to reject, edit, remove, or suspend any listing, Product, file, or account — with or without notice — that we determine falls within the categories below or otherwise violates these Terms.
Content that is not permitted, and that we may reject, remove, or suspend when we identify it:
- Offensive, discriminatory, hateful, or otherwise inappropriate material;
- Malware, viruses, or other harmful, malicious, or corrupted code or files.
We do not pre-screen Content for copyright or other intellectual property infringement, plagiarism, the accuracy of a Seller’s claims, or general legal compliance. Sellers are solely responsible for ensuring their Content is original, non-infringing, accurate, and lawful, as set out in Section 4 (Seller Responsibilities) and Section 16 (Prohibited Activities). We address these matters reactively — when Content is reported to us, or when we receive a valid legal notice — rather than by monitoring. If you believe a listing infringes your rights, we encourage you to contact the Seller first to seek resolution; rights holders may also submit a formal notice under Section 15 (Copyright Complaints and Takedown (DMCA)), which we will handle as described there.
The Marketplace does not review every listing, Product, or file, and any review it does perform is to protect the integrity of the platform and our users; it is not performed for the benefit of any individual user and creates no duty or warranty to any user. No review constitutes an endorsement, certification, or guarantee of the accuracy, completeness, legality, safety, effectiveness, or quality of any Product, and the Marketplace does not assume responsibility for Content created or distributed by Sellers, who remain solely responsible for it.
The Marketplace does not scan every file and does not warrant that any file is free of viruses, malware, or other harmful components. Buyers are responsible for maintaining current security software and for scanning and verifying files before opening them, and download and use Products at their own risk.
Payments and Fees
- All prices are listed in U.S. Dollars unless otherwise specified.
- Payments are processed by third-party payment providers and are subject to those providers’ terms. The Marketplace does not store full payment card numbers.
- Sellers authorize the Marketplace to deduct applicable fees, as set out in the Marketplace’s published fee schedule, before earnings are disbursed.
- Seller payouts are made automatically once a Seller’s available (cleared) balance reaches a minimum payout threshold (currently $50.00); balances below the minimum carry over until the threshold is met. The current minimum is shown on the Seller’s Payouts page and may be updated from time to time.
- Where available, a Seller may request an immediate on-demand payout of the Seller’s available (cleared) balance from the Seller’s Payouts page instead of waiting for the scheduled payout; the minimum payout threshold does not apply to on-demand payouts. On-demand payouts carry a processing fee that is deducted from the payout and disclosed to the Seller before the payout is confirmed, and the fee may be higher for payout accounts held in a currency other than U.S. Dollars. If an on-demand payout fails or is canceled, the funds and the fee are returned to the Seller’s balance.
- Seller payouts are subject to a clearing hold (currently 3 days from the date of purchase) before funds become available for payout. If a refund or chargeback occurs after a Seller has been paid out, it is reconciled against the Seller’s balance, and the Marketplace may pause that Seller’s payouts until the balance is reconciled.
Tax Reporting and Delivery of Tax Forms
Sellers are responsible for their own taxes on income earned through the Marketplace. Where required by United States federal or state law, the Marketplace (or its payment provider acting on its behalf) will file information returns, such as IRS Form 1099-K, reporting a Seller’s gross transaction activity, and will provide the Seller a copy. Sellers agree to provide accurate taxpayer information, including legal name, address, and taxpayer identification number, and to keep it current. If a Seller’s taxpayer information cannot be verified, payouts to that Seller may be paused until it is corrected.
The information returns described in this section are United States tax forms. The Marketplace does not issue Canadian tax slips or other non-United States tax forms. Sellers who are not United States taxpayers, including Canadian Sellers, remain responsible for reporting and paying tax on their Marketplace income to their own tax authorities.
Electronic delivery of tax forms
Electronic delivery is the standard method for providing tax forms. Forms are made available to Sellers electronically, and Sellers are notified by email when a form is ready. Sellers will be asked to confirm their delivery preferences for tax forms. Paper copies are available on request.
Refund Policy
Because Products are digital in nature:
- All sales are generally final.
- Refunds will not be issued for accidental purchases, change of mind, or failure to read a product description.
- Refund requests arising from duplicate charges, inaccessible or corrupted files, or technical errors should first be raised with the Seller, and may be reviewed on a case-by-case basis between the Seller and the Buyer.
- If the Buyer and Seller cannot reach a resolution, the Marketplace reserves the right to make the final determination of refund eligibility.
Sellers set the refund terms for their own Products. A Seller may specify in a product listing that a Product is sold “as is,” that all sales are final, or that no refunds are offered, and those Seller-stated terms govern purchases of that Product. Regardless of a Seller’s stated terms, the Marketplace may still review requests involving duplicate charges, inaccessible or corrupted files, or technical errors, and nothing in a Seller’s terms limits any right you may have under applicable consumer-protection law.
To request a refund, contact the Seller directly through the Marketplace. Refunds are handled between you and the Seller, subject to the Marketplace’s final determination described above. Any refund that is approved is issued to the original payment method used for the purchase and may be issued in whole or in part; where a Product is refunded in full, your access to that Product may be revoked. Once a refund is approved, it is typically processed within two to five business days; the time for the funds to appear on your statement then depends on your bank or payment provider.
Cancellation Policy
Product purchases
Each purchase of a Product is a one-time transaction, not a recurring charge, so an individual purchase has no subscription to cancel. How and when a Product is delivered depends on the Product: some are available immediately, while others may require action by the Seller or a third-party platform to provide access. A checkout that is not completed is never charged and requires no cancellation. Once a Product has been delivered, any refund is governed by the Refund Policy above.
Seller subscriptions
Sellers may subscribe to a paid subscription plan billed on a monthly or annual basis. You may cancel a paid subscription at any time from your billing settings by switching to the free plan. Cancellation stops future renewal charges and takes effect at the end of the current billing period; you keep access to paid-plan features until then. Subscription fees already paid are non-refundable except as required by law.
Where a one-time setup fee applies to enabling a storefront, it is charged once at the time the storefront is enabled and is not a recurring charge. You may stop using the Marketplace at any time, as described in the Account Suspension and Termination section below.
Returns
The Products currently sold through the Marketplace are digital goods delivered electronically. A digital Product cannot be shipped back or surrendered once it has been delivered, so digital Products are not returnable, and no return or shipping process applies to them. Eligibility for any refund of a digital Product is governed by the Refund Policy above.
If the Marketplace offers Products of other types in the future — for example, physical goods that are shipped to you, or Products whose access is delivered through a third-party platform rather than by immediate download — the return, shipping, and delivery terms that apply to those Products will be set out in the applicable product listing or its accompanying terms.
Affiliate Links and Referral Rewards
Eligible Sellers may generate an affiliate link that attributes the people who join or transact through it to the Seller. The discounts an affiliate link provides to an incoming user, and the referral reward it earns for the link owner, are set by the Marketplace and apply globally to all affiliate links.
You acknowledge and agree that:
- Eligibility to create an affiliate link, the discounts it provides, the referral reward it earns, and the conditions under which a reward is earned are determined solely by the Marketplace.
- The Marketplace may change, suspend, or discontinue these affiliate discounts and rewards — or the affiliate program itself — at any time, in its sole discretion.
- We will notify affiliate link owners by email of material changes to the affiliate discounts or rewards.
- A referral reward is earned only while the link owner maintains the subscription tier the program requires; a reward is not earned for self-referrals.
Intellectual Property
All intellectual property rights in a Product remain with its original creator. Purchase of a Product conveys only the license described in Section 6, not ownership of the underlying work.
Users may not:
- Copy or distribute Content without authorization;
- Remove or alter copyright or other proprietary notices;
- Use Marketplace Content for any unlawful purpose.
The Travel Advisor Marketplace name, branding, logos, and website content are and remain the exclusive property of the Marketplace and may not be used without our prior written consent.
Copyright Complaints and Takedown (DMCA)
The Marketplace respects the intellectual property rights of others and expects its users to do the same. We comply with the U.S. Digital Millennium Copyright Act (DMCA) and will respond to clear notices of alleged copyright infringement. In appropriate circumstances and in our discretion, we will disable or terminate the accounts of users who are repeat infringers. We encourage rights holders to contact the Seller directly to seek resolution before submitting a formal notice, although you are not required to do so.
Notices of claimed infringement should be sent to our designated copyright agent: Copyright Agent, Travel Advisor Marketplace, by email to help@traveladvisormarketplace.com.
To be effective, a notice of claimed infringement must be a written communication that includes substantially the following:
- A physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to allow us to locate it, such as the listing URL;
- Your contact information, including your name, mailing address, telephone number, and email address;
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.
Upon receiving a valid notice, we will promptly remove or disable access to the material in question and take reasonable steps to notify the affected Seller.
If you are a Seller and believe your Content was removed or disabled by mistake or misidentification, you may send a counter-notification to the same agent. A counter-notification must include your signature; identification of the material that was removed and the location at which it appeared before removal; a statement, under penalty of perjury, that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification; and your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal court for the judicial district in which your address is located (or, if outside the United States, the judicial district in which the Marketplace may be found) and that you will accept service of process from the person who submitted the original notice or that person’s agent. We may restore the removed Content as permitted by the DMCA. Under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material is infringing, or was removed or disabled by mistake, may be liable for damages.
Prohibited Activities
Users may not:
- Upload plagiarized materials;
- Infringe the intellectual property rights of any party;
- Engage in fraudulent transactions;
- Circumvent or attempt to circumvent Marketplace fees, including by completing off-platform any transaction initiated on the Marketplace;
- Use a Marketplace listing, store page, Product preview, image, or Buyer communication to advertise or direct a Buyer to a website, marketplace, or sales channel outside the Marketplace for the purchase of the Product or a substantially similar product, including by link, URL, QR code, or discount code;
- Use automated methods to scrape, harvest, or extract data from the platform;
- Interfere with the operation or security of the platform.
This section governs what appears on the Marketplace, not where a Seller does business. Sellers remain free to market and sell their products through their own websites, social channels, and any other channel outside the Marketplace. What it asks is that a listing or store page here not send a Buyer elsewhere to complete a purchase that began here. Links that form part of a Product’s substantive content, such as references to travel suppliers, booking pages, or informational sources, and links used to deliver or provide access to a Product a Buyer has purchased, are permitted.
Where we identify a violation, we may remove or edit the listing, Product, or file involved, and we may suspend or terminate an account for repeated or serious violations. Marketplace fees remain payable on any transaction that began on the Marketplace.
Marketplace Disclaimer
The Marketplace is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, the Marketplace:
- Does not review, scan, or monitor every listing, Product, or file;
- Does not verify the quality, legality, or effectiveness of Products listed by Sellers;
- Does not guarantee that any Product will meet a Buyer’s expectations;
- Does not warrant that any Product or file is free of viruses, malware, or other harmful components;
- Is not a party to any agreement between a Buyer and a Seller;
- Does not guarantee that the platform will be uninterrupted, error-free, or secure.
Users assume all risks associated with transactions conducted through the platform.
Limitation of Liability
To the fullest extent permitted by law, Travel Advisor Marketplace and its owners, employees, affiliates, and agents shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Lost profits or lost revenue;
- Business interruption;
- Loss of data;
- Claims arising from the use of Products purchased through the platform.
The Marketplace’s total aggregate liability arising out of or relating to these Terms shall not exceed the amount paid by you to the Marketplace during the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Travel Advisor Marketplace and its owners, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Marketplace;
- Your violation of these Terms;
- Any intellectual property or other dispute relating to Content you submit.
Account Suspension and Termination
The Marketplace reserves the right to suspend, restrict, or terminate any user account for violations of these Terms, with or without prior notice. You may stop using the Marketplace at any time. Provisions of these Terms that by their nature should survive termination — including licenses granted, disclaimers, limitations of liability, and indemnification — survive any termination of your account.
Modifications to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, provide notice through the Marketplace or by email. Your continued use of Travel Advisor Marketplace after any update constitutes acceptance of the revised Terms.
Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Marketplace shall be resolved exclusively in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction of, and venue in, those courts.
General Provisions
- Entire agreement. These Terms constitute the entire agreement between you and the Marketplace regarding your use of the platform and supersede any prior agreements on that subject.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and the Marketplace.
